1. Monecuer Inc. Intellectual Property

All intellectual property owned by Monecuer Inc. is protected and proprietary:

2. Client-Owned Intellectual Property

For custom development and creative services:

• Work-for-Hire: Upon full payment as specified in your SOW, intellectual property rights for deliverables are transferred exclusively to the client
• Custom Software: Client receives full IP ownership of custom-built applications, subject to limitations on third-party components
• Creative Deliverables: Client receives exclusive rights to commissioned photography, video, design, and editorial work
• Conditional Transfer: IP transfer occurs only after acceptance and full payment; partial payment does not transfer ownership

3. Monecuer Inc. Retained Rights

Even when transferring IP to clients, Monecuer Inc. retains rights to:

• Reusable Components: Frameworks, libraries, UI components, utilities, and general-purpose tools developed independently or as part of multiple projects
• General Knowledge & Skills: Industry expertise, methodologies, best practices, and technical knowledge gained during projects
• Tools & Infrastructure: Development tools, deployment infrastructure, testing frameworks, and operational processes
• Portfolio Rights: Unless explicitly waived in writing, right to use project in portfolio, case studies, and marketing (without revealing confidential client details)
• Third-Party Components: All open-source and third-party licenses remain with their original licensors

All trademarks, logos, and brand identifiers are exclusively owned by Monecuer Inc.:

• Monecuer™ — Registered trademark of Monecuer Inc.
• Spectre Films™ — Registered trademark of Monecuer Inc.
• Victory Power Network™ — Registered trademark of Monecuer Inc.
• Ultra Focus News™ — Registered trademark of Monecuer Inc.

Unauthorized use of our trademarks is prohibited. For licensing inquiries, contact legal@monecuer.com.

6. Third-Party IP & Licensing

Our products and services may include third-party components governed by their respective licenses:

• Open-Source Software: MIT, Apache 2.0, GPL, BSD licenses. See LICENSE file in repositories or contact support for full compliance details
• Third-Party APIs: Stripe, AWS, Google Cloud, OpenAI, and other services are subject to their respective terms and licenses
• Fonts & Assets: Licensed from Google Fonts, Adobe, and other providers under their specific terms
• Media Assets: Stock photography, video, and audio licensed from providers and properly attributed

7. User-Generated Content

For services like Victory Power Network (broadcasts/livestreams) and Ultra Focus News (reader comments, submissions):

• Ownership: You retain ownership of content you create and submit
• License Grant: By uploading/posting, you grant Monecuer Inc. a worldwide, perpetual, royalty-free license to display, distribute, and modify content on our platforms
• Attribution: We will credit you where applicable, following platform guidelines
• Removal: You may request content removal within 90 days of posting (subject to archival/legal hold requirements)

8. Copyright Infringement Claims

If you believe your copyright has been infringed:

1. Send a detailed written notice to legal@monecuer.com
2. Include: your name, contact info, infringing content location, proof of ownership, detailed description of infringement
3. Monecuer Inc. will investigate and respond within 10 business days
4. For valid claims, we will remove or disable access to infringing content

9. Fair Use & Limitations

Permitted uses of Monecuer Inc. content include fair use for criticism, commentary, education, and research (non-commercial). Commercial use, redistribution, or derivative works require explicit written permission. Transformative use is evaluated on a case-by-case basis.
